General
1. This Corporate Business Policy(CBP) covers a wide range of business practices and procedures of MaxMet Inc..
2. MaxMet Inc. maintains the business with the highest international standards of excellence and integrity. MaxMet¡¯s core business policy is to conduct business with supreme professionalism and total integrity.
3. Hereby ¡°employees¡± refer to executive directors, directors, officers and employees of MaxMet Inc., its subsidiaries, suppliers and purchasers.
"Executive directors" are CEO, Vice-President and Executive Managing Director, elected by the vote of the board of directors, legal registered and
are to oversee operations and management and implement the policy decisions of the board of directors. Hereby "non-executive directors" are the
nominated directors who are nominated and proceed the duty defined by the board of directors.
4. In MaxMet¡¯s global business and research environment, employees can often face diverse and ambiguous issues. It is our responsibility to work through those issues in a disciplined fashion and reach the right result for MaxMet Inc., its shareholders and employees. In no case is it appropriate to take an action that is not ethically and legally correct where the governmental or international laws prohibit.
5. Employees must follow the local and international law wherever they are working, consulting, traveling around the world and in all possible circumstances.
6. Employee does not engage in behavior that harms the reputation of MaxMet Inc. or the employee him or herself. If the employee wouldn¡¯t want to tell his or her spouse, parents or children about his or her own action, or would be embarrassed to read about it from the media, then the employee should not do the action. Employees must avoid both actual and perceived conflicts of interest.
7. MaxMet prohibits bribes and kickbacks. MaxMet employees may not offer or accept a bribe or a kickback. Bribes and kickbacks are prohibited either directly or through a third party in any kind.
8. Customers and suppliers must be dealt with fair professionalism. Employees must never attempt to bribe or improperly influence a government official, customer or supplier.
9. Financial record of MaxMet Inc., both for internal activities and external transactions, must be timely and absolute accurate.
10. All employees should be treated with respect and dignity consistent with MaxMet¡¯s Values, and all laws regarding employees must be followed.
11. Employees must safeguard MaxMet¡¯s assets, including its confidential, non-public information. Violations of the CBP, including asking other employees to violate the CBP, not reporting a violation or failing to cooperate in an investigation by MaxMet Inc. concerning the CBP, will result in discipline.
12. Discipline will vary depending on the circumstances and may include a reprimand, demotion, reduction in compensation, suspension or dismissal with possible compensation for damage. This may include a civil or criminal liability.
13. MaxMet Inc. will answer and clear-cut define what to do and not to do in its business operations according to the questions of employee who need help in the respective issue.
In this regard, employees should consult MaxMet's guidelines, especially the Company Business Policy, in specific areas as they apply.
Permission and Waivers
14. There are some activities described in the Corporate Business Policy where an employee must first seek and obtain permission from his or her manager or another designated person or group leader, such as the Executive Officers, Division Directors, Managers, Supervisors or the Legal Department. Be sure to obtain the necessary review and approval in these circumstances.
Ethics and Compliance
15. Honest and ethical conduct, including the ethical handling of actual or perceived conflicts of interest between personal and business relationships, is our rule every day and for all that we do. If we are to maximize the value we create for our shareholders, it is the personal responsibility of each of us to:
A. Comply with applicable laws, including statutes, controlling case law, agency regulations and orders, and other administrative directives, and MaxMet guidelines.
B. Employ technical excellence and integrity to do the best we can to provide timely, accurate and understandable reporting of actual and forward-looking financial information.
C. Employ our business processes and guidelines to do the best we can to base our business decisions on sound economic analysis (including a prudent consideration of risks).
D. Safeguard and utilize our physical, financial and intellectual property assets, which include patents, manuscripts, technical reports, technical notes, technical meeting minutes and trade secrets to the best and most prudent effect.
Employees and the Workplace Environment
16. MaxMet¡¯s fast-paced work environment has been integral to its continued success in the highly competitive and evolving high-tech industry. While maintaining a work culture that ensures MaxMet¡¯s success, MaxMet also strives to treat each employee fairly and with dignity. Consistent with this principle, MaxMet seeks to:.
A. Reward individual performance through the full merit and accomplishment based compensation practices.
B. Create opportunities for advancement and growth, and an environment that allows employees to continuously improve and expand their skills.
C. Provide market competitive salary, compensation and paid holiday scale that allows employees to share in MaxMet¡¯s success.
D. Promote open communication and prompt resolution of employee issues.
E. Provide a safe and secure work environment for all employees. In addition, MaxMet is committed to complying with all applicable laws regarding employees in each of the countries in which we operate. This includes laws regarding:
1. Minimum ages for employment.
2. Minimum wages and overtime compensation.
3. Benefits.
4. Nondiscrimination.
5. Employees¡¯ right to raise issues and work collectively for their mutual benefit
6. Health and safety
17. MaxMet Inc.¡¯s employment policy will comply with the local applicable laws and provide equal employment opportunity for all applicants and employees without regard to race, color, religion, sex, national origin, ancestry, age, disability, veteran status, marital status, sexual orientation or gender identity.
18. This applies to all employees working in MaxMet Inc., either regular or temporal employees regardless of terms of employment;
A. MaxMet provides reasonable accommodation to the employee ordered to work in alien countries than native place. MaxMet will provide the necessary educational support and vocational assistance to the direct family members of the employee according to the MaxMet Employees' Welfare Program .
B. MaxMet encourages extensive and intensive product development and technical advancement. The research staff that won the series of recognized international prizes according to the consecutive brilliant research activities can be eligible to MaxMet Research Fellow upon the examination of the candidacy. A Nobel Prize winner can be eligible to one of MaxMet Creators Members, which corresponds to the rank of Chief Autonomous Research Officer and will be supported to have an independent research facility and funds.
C. Disabled applicants and employees are also provided dedicated accommodations with proper facilities in order to enable them to apply for and to perform the essential functions of their jobs.
D. MaxMet will provide a workplace free of sexual harassment as well as harassment based on age, national origin, race, color, religion, ancestry, disability, veteran status, marital status, pregnancy, native local and sexual orientation or gender identity.
E. MaxMet will never tolerate such harassment of employees by managers, co-workers or non-employees in the workplace.
F. For the pregnant employee, MaxMet will provide the support for the safe birth of the baby during the pregnancy, birth and after-birth care. The employee will hold the original position as soon as she is able to return to the job.
G. MaxMet will provide a pleasant business environment for the benefit of our employees and their family members.
H. MaxMet will provide a secure workplace environment for employees, products, materials, equipment, systems and information.
I. MaxMet strives to comply with all applicable regulatory requirements as a minimum and implement programs and processes to achieve greater protection and safety where appropriate. We seek a healthful and safe workplace, free of occupational injury and illness.
J. MaxMet will not tolerate the applicant and the employee who has joined, acted and practiced or joins or contacts or communicates by any means any organizations recognized in terrorism. The Guideline of General Security specifies the detailed information.
K. MaxMet supports the moderate medical insurance to all employees. In the case of difficult diseases or dental treatments requiring excess personal medical expenses more than the Guideline of Welfare of Employees, the company supports the expenses. The medical support covers the spouse, children, parents and parents in law of the employee.
L. MaxMet is committed to complying with all applicable laws regarding employees in each of the countries in which we operate. This includes laws regarding: minimum ages for employment; minimum wages and overtime compensation; benefits; nondiscrimination and anti-terrorism; employees¡¯ right to raise issues and work collectively for their mutual benefit; and health and safety.
M. MaxMet expects its suppliers and customers to comply with applicable laws concerning occupational health, safety and environmental protection, to strive for a workplace free of occupational injuries and illnesses, and to engage in manufacturing that minimizes impact to the environment and the community. We expect suppliers to maintain progressive employment practices that meet or exceed all applicable laws.
N. These include nondiscrimination in employment practices, prohibiting the use of child or forced labor, providing minimum wages, employees¡¯ benefits and work hours. In the event local standards do not exist, suppliers shall nonetheless establish progressive employment practices and shall apply the United Nations standards or the OECD standards where appropriate.
Assets - Protection and Use of Company Resources
19. Every MaxMet employee is responsible for protecting MaxMet's assets. MaxMet's assets include, but aren't limited to these, physical assets, such as equipment and buildings, as well as our funds, and intellectual property such as trade secrets and confidential information.
20. To protect MaxMet's assets, they must be adequately safeguarded. This means locking up and securing valuable assets where appropriate. MaxMet assets may not be sold, borrowed, lent, dispatched, taken outside of the workplace, disclosed, given away or modified in any way that would impair their value, unless there is a good business reason and with approval of the supervisor.
21. Anyone entering an MaxMet Inc. or MaxMet-controlled facility is required to wear and openly display an MaxMet-issued identification badge, and follow all entry procedures.
22. All badges are the property of MaxMet and must be returned on termination or dismissal and upon request of the MaxMet security personnel.
23. Each employee is also responsible for understanding MaxMet's obligations for protecting assets that have been entrusted to it by customers or suppliers, and for treating them accordingly.
24. Company resources, including, but not limited to these, cash, personnel, equipment, prototypes, specimens, products and vehicles can only be used for legitimate company business purposes.
25. MaxMet also provides employees with use of company-owned telephones, facsimile, copiers, computer, hard disks, removable hard disk, mobile phone, digital cameras, specific network modules, and server equipment to be used as a resource in conducting business. Although reasonable personal use of these resources is permitted, such use is not private, is subject to review and access by MaxMet Inc., and is governed by the professional conduct and reasonable use expectations detailed in MaxMet's Telecommunication and Equipment Guideline of E-mail, Internet, Telephone and Computer-Use.
Assets - Information Security
26. Confidential information generated by or used in any company business activity is considered an information asset. This includes, but is not limited to, information originating from direct access to computer systems, information carried over networks, information preserved on portable electronic media, information appearing in hard-copy format, and other non-public information learned by virtue of being an MaxMet employee.
27. MaxMet requires that each employee be personally responsible for safeguarding MaxMet's information assets, in all their various forms, from loss, inappropriate modification and disclosure to anyone who lacks either the authorization or the need-to-know. The more sensitive or critical the information, the more care you must exercise in protecting it.
28. All employees are required to:.
A. Correctly classify information assets to accurately reflect their value to our business.
B. Protect the confidentiality, integrity, and availability of information such as product conceptual designs, technical specifications, layouts, circuit diagrams, production engineering report, production plans, strategic short and long-range business plans, product pricing, and employee data that, if disclosed, could cause financial or other damage to MaxMet Inc.
C. Hold in confidence and not use without the written approval of MaxMet Inc., any confidential information that they have access to or they created while they were employed at MaxMet Inc.
D. Employees are responsible to protect confidential information throughout its life, from inception through disposal to ensure confidentiality, integrity, and availability.
E. Protect third-party confidential information in the same manner required by the terms of the Corporate Non Disclosure Agreement. If such terms are not known, that information should not be used, copied, stored or disclosed until the terms of the Corporate Non Disclosure Agreement are known.
F. Ensure that confidential information that may need to be released to customers or suppliers is handled properly. In such cases, an employee must have received proper authorization from the Legal Department or responsible Director and must ensure that the recipient has a need-to-know and signs a nondisclosure agreement.
G. Only authorized persons must handle requests for confidential information from outside sources.
H. Cooperate with MaxMet Inc. in protecting such information. This includes, but is not limited to, cooperating fully in any exit interviews, signing the Trade Secrets Acknowledgement Form if asked to do so, and disclosing non confidential information about prospective employment to enable MaxMet to assess any risk to its confidential information.
I. Be personally accountable to MaxMet and legally accountable for their actions. The Chief Information Officer is responsible for establishing and maintaining corporate wide information security Policies, Standards, and Procedures. Management and staff are required to maintain an appropriate level of awareness, knowledge, and skill to allow them to minimize the occurrence and severity of information security incidents
29. Each and every employee and contractor is required to comply with Information Security Policies and must become familiar with, understand, and follow the current IS Standards and Procedures. In addition, in making public comments concerning MaxMet Inc. and its affiliates, all employees must comply with the Communications with Media guideline in the CBP and the Public Relations/Media guidelines of MaxMet Inc.
Assets - Trademarks and Brands Usage
30. MaxMet's trademarks and brands are considered assets of the Incorporation. Their protection is dependent upon consistent usage and reference. Everyone who is involved in developing communications, whether MaxMet employees, consultants, outside suppliers or third parties, is responsible for using MaxMet trademarks and brands properly in both internal and external documents, and in electronic communications.
31. MaxMet respects the trademarks of third parties and applies the same standards for third party trademarks. Information, training, and a guide to using trademarks and brands are available through the Legal Department.
Assets - Business Continuity
32. MaxMet strives to prevent injury to employees, guests and neighbors;
A. Protect MaxMet's assets from damage or loss.
B. Minimize the effects of any incident so that they do not compromise MaxMet's ability to achieve its mission.
C. MaxMet recognizes that a wide variety of disasters (natural and human-caused) or failures (physical and information systems) can occur. Although these incidents cannot always be avoided even where preventative measures have been taken, through effective planning we can reduce both the duration and severity of any event that does occur. To accomplish our goals of preventing injury, protecting assets, and minimizing the impact of any incident, MaxMet operations incorporate Business Continuity as a core business practice.
D. Business Continuity is an integral approach to doing business that promotes safety as a core value while providing reasonable assurance we can respond to emergencies and keep our core business running during times of unexpected events or disasters.
External Communications - Communications with Media
33. MaxMet's principle in the communication with shareholders, media, investors, and government entities is to maintain open and consistent. To ensure the appropriateness and accuracy of all information provided, spokespeople are designated to respond to all inquiries.
34. Except for designated spokespeople, individual employees should not respond on MaxMet's behalf to inquiries about MaxMet¡¯s business, policies, employees or litigation in any public forum, including the Internet, online services, at conferences and the media, even when press are visiting our facilities.
35. Inquiries should typically be referred to Press Relations, Investor Relations or Government Affairs, depending on the topic and forum in question. In some cases, employees will have the authority to present MaxMet positions and other information when working with customers, suppliers, government agencies and other third parties;
A. Those employees are responsible to work with their business units. international organization including technical association and other relevant MaxMet technical or business groups to ensure that they correctly understand and can articulate MaxMet¡¯s official positions.
In addition, employees are reminded that they should avoid any conflict of interest, including appearing to represent MaxMet's views while conducting any outside business or political role.
B. More generally, employees may not use or disclose proprietary or confidential information except, as their jobs require, though the research result journal publications and conference presentations are encouraged
in condition upon the prior approval of the Chief Technical Officer or the Technical Committee of MaxMet Research Institute.
C. Anyone who violates this requirement will be subject to discipline, up to and including dismissal and possible legal action. All employees must comply at all times with MaxMet's Security and Confidential Information Guideline and Information Security guideline.
External Communications - Employee Postings on the Internet
36. MaxMet employees may choose, or be required by their jobs, to participate in public forums on the intranet, including USENET news groups, Internet mailing lists, blogs, opinion bulletins, chatting tools and so on. Employees cannot represent MaxMet's corporate opinion in these forums unless they have been specifically asked by MaxMet Inc. to do so.
37. To avoid confusion, employees should indicate in their postings that the views they express are their own and not those of MaxMet. Employees should remember that, even with this disclaimer, they will be identified with MaxMet and that their behavior in network reflects on MaxMet in a broader way.
38. Employees should never comment on confidential or internal company matters, and should never comment on pending legal actions involving MaxMet Inc., its customers, or its suppliers. All comments should be well informed and within the employee's sphere of expertise.
39. If the posting affects others at MaxMet, those affected should be copied on the posting or be advised of it in advance. In addition, any use of MaxMet's assets, including any email or other communications sent from any of MaxMet accounts or the E-mail, Internet and
the Telecommunication and Equipment Guideline of E-mail, Internet, Telephone and Computer-Use govern MaxMet¡¯s computers, network and equipments.
These guidelines are not meant to replace reasonable and common sense.
Principles for Responsible Business
40. In addition to the Corporate Business Policy (CBP), the Company has also adopted a set of principles for responsible business. These principles are intended to succinctly express MaxMet¡¯s commitment to ethical and legal business practices on a worldwide basis. Most of these topics are discussed in more detail in the CBP and others are covered in other policies and practices. These principles define a minimum set of ethical standards for all employees of MaxMet Incorporated and its subsidiaries ¡°MaxMet¡± worldwide and are meant to reflect cultural differences in international locations.
41. MaxMet emphasizes to strict standards of honesty and conducts business with supreme professionalism and with total integrity. These principles:

44. MaxMet honors and maintains the personal privacy of consumers, customers and employees. MaxMet is committed to user privacy in our products and services. We support consumer choice and informed consent.
Competition Policy
45. MaxMet encourages competition, which benefits consumers by prohibiting unreasonable restraints on trade.
46. MaxMet competes vigorously while at the same time adhering to both Human Rights and local antitrust laws.
47. MaxMet does not delay the settlement of the due payment of the parts and items supplied by the suppliers, after the proper inspection of the items according to the Guideline of Inspection and Quality Assurance, in order to maintain our suppliers competitiveness.
